Arabian United Float Glass Sales Terms and Conditions
1. Scope:
These Sales Terms and Conditions govern the sale of Arabian United Float Glass ('UFG') products by to the buyer. Any terms or conditions out of UFG Proforma invoice is rejected unless agreed in writing by UFG.
2. Order Acceptance:
Arabian United Float Glass ('UFG') accepts customer orders for glass products through various communication channels, including phone calls, emails, WhatsApp, and others. However, to ensure an efficient and secure process, the following requirements must be met before an order is considered accepted:
2.1 Customer Data Verification:UFG reserves the right to request and verify all necessary customer data before processing an order. This includes, but is not limited to, company registration certificate (CR), VAT certificate, and other relevant documentation.
If the customer data is incomplete / not updated or unavailable, UFG will contact the customer for clarification and may delay order processing until the information is received.
Upon completion of the customer data, UFG Master Data Team will create a unique customer code if not already exist.
2.2 Proforma Invoice Generation:Once the customer requirements are confirmed and customer data is verified, UFG sales team will generate a Proforma invoice that clearly state the following:
· Product details: Type, quantity, thickness, size, and any other relevant specifications.
· Unit price: Agreed price per unit for each product.
· Total price: Total cost of the order, including any applicable taxes or fees.
· Payment terms
· Validity
· Delivery instructions
· Customer data: Company name, address, contact information.
2.3 Order Confirmation:The customer must thoroughly review the Proforma invoice and ensure all details are accurate.
To confirm the order, the customer must:
· Sign and stamp the Proforma invoice: This signifies the customer's acceptance of these Sales Terms and Conditions and the details on the Proforma invoice.
· Return the signed and stamped proforma invoice along with payment documentation: This can be done through the same communication channel used for the initial inquiry.
· Orders are not considered confirmed until UFG receives the signed and stamped proforma invoice with payment documentation.
3. Proforma Invoice Validity:
3.1 Standard Validity: UFG Proforma invoices valid for five (5) days from the date of issuance.
3.2 Extended Validity: Upon mutual agreement and receipt of an advance payment or confirmed Letter of Credit (LC), within the Proforma invoice validity, validity may be extended subject to UFG written confirmation.
4. Payment:
4.1 Payment Terms: Payment is due in accordance with the agreed-upon terms stated on the Proforma invoice.
4.2 Late Payment:UFG reserves the right to hold or cancel future shipments to the customer delay payments and may lead to terminate facilities for credit customers.
5. Delivery:
5.1 Delivery Terms: UFG committed to deliver shipments as per delivery terms mentioned in Proforma invoices (EXW, CIF, etc.) Buyer is responsible for all import duties, taxes, clearance and other charges associated with delivery.
5.2 Inspection: Buyer is responsible for inspecting the goods upon delivery and notifying UFG immediately of any discrepancies.
6. Climate-Controlled Environment:
6.1 Storage: Buyer shall store all glass products in a closed warehouse or container to protect them from rain, fog, and natural elements.
6.2 Humidity: Relative humidity must be maintained below 75% at all times to prevent damage.
6.3 Dust and Moisture Protection: Glass must be covered with plastic sheeting to shield it from dust and moisture interaction.
6.4 Temperature Control: Glass must be stored above 15°C to avoid condensation and thermal stress.
6.5 Chemical Separation: Glass must be kept away from any alkaline substances, cement, or other corrosive materials.
6.6 Optimal Storage Position:Glass must be laid on steel racks angled 3-6 degrees for stability and ventilation.
7. Breakage Claims:
7.1 Minimum Threshold: In case of breakage 3% and below of the total quantity is not claimable.
7.2 Time frame: UFG reserves the right not to accept breakage claims from the customer after 30 days from the receipt of goods, attached with supportive documents as per UFG claim handling procedures.
7.3 Claim Documentation: All claims must be submitted using UFG's designated template and include clear pictures of the damaged glass for verification purposes with supporting documents as per UFG procedures.
8. Warranty:
8.1 Limited Warranty: UFG warrants that the Mirror Glass products will be free from manufacturing defects for a period of 10 Years from the date of delivery. This warranty does not cover any damage caused by improper storage, handling, or installation (terms & conditions are applied as per warranty certificate).
9. Limitation of Liability:
UFG's liability for any claim arising out of or related to the sale of goods shall be limited to the value of the goods sold. UFG shall not be liable for any consequential, incidental, or indirect damages.
10. Force Majeure:
Neither UFG nor Buyer shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, war, terrorism, strikes, or natural disasters or any other force majeure.
11. Governing Law and Dispute Resolution:
These Terms shall be governed by and construed in accordance with the laws of Saudi Arabia. Any dispute arising out of or relating to these Terms shall be settled by arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the (please advise Arbitration Rules)
12. Entire Agreement:
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
13. Severability:
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
14. Waiver:
No waiver of any breach of these Terms shall be construed as a waiver of any other breach.
