Proforma Invoice Validity: • 3.1 Standard Validity: UFG Proforma invoices valid for five (5) days from the date of issuance. • 3.2 Extended Validity: Upon mutual agreement and receipt of an advance payment or confirmed Letter of Credit (LC), within the Proforma invoice validity, validity may be extended subject to UFG written confirmation. 4. Payment: • 4.1 Payment Terms: Payment is due in accordance with the agreed-upon terms stated on the Proforma invoice. • 4.2 Late Payment: UFG reserves the right to hold or cancel future shipments to the customer delay payments and may lead to terminate facilities for credit customers. 5. Delivery: • 5.1 Delivery Terms: UFG committed to deliver shipments as per delivery terms mentioned in Proforma invoices (EXW, CIF, etc.) Buyer is responsible for all import duties, taxes, clearance and other charges associated with delivery. • 5.2 Inspection: Buyer is responsible for inspecting the goods upon delivery and notifying UFG immediately of any discrepancies. 6. Climate-Controlled Environment: • 6.1 Storage: Buyer shall store all glass products in a closed warehouse or container to protect them from rain, fog, and natural elements. • 6.2 Humidity: Relative humidity must be maintained below 75% at all times to prevent damage. • 6.3 Dust and Moisture Protection: Glass must be covered with plastic sheeting to shield it from dust and moisture interaction. • 6.4 Temperature Control: Glass must be stored above 15°C to avoid condensation and thermal stress. • 6.5 Chemical Separation: Glass must be kept away from any alkaline substances, cement, or other corrosive materials. • 6.6 Optimal Storage Position: Glass must be laid on steel racks angled 3-6 degrees for stability and ventilation. 7. Breakage Claims: • 7.1 Minimum Threshold: • In case of breakage 3% and below of the total quantity is not claimable. • 7.2 Time frame: • UFG reserves the right not to accept breakage claims from the customer after 30 days from the receipt of goods, attached with supportive documents as per UFG claim handling procedures. • 7.3 Claim Documentation: All claims must be submitted using UFG's designated template and include clear pictures of the damaged glass for verification purposes with supporting documents as per UFG procedures. 8. Warranty: • 8.1 Limited Warranty: UFG warrants that the Mirror Glass products will be free from manufacturing defects for a period of 10 Years from the date of delivery. This warranty does not cover any damage caused by improper storage, handling, or installation (terms & conditions are applied as per warranty certificate). 9. Limitation of Liability: UFG's liability for any claim arising out of or related to the sale of goods shall be limited to the value of the goods sold. UFG shall not be liable for any consequential, incidental, or indirect damages. 10. Force Majeure: Neither UFG nor Buyer shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, war, terrorism, strikes, or natural disasters or any other force majeure. 11. Governing Law and Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of Saudi Arabia. Any dispute arising out of or relating to these Terms shall be settled by arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the (please advise Arbitration Rules)
